Agreement Overview
These Terms of Service ("Terms") constitute a legally binding agreement between Unfold:ai Ltd ("we," "us," or "our") and the enterprise customer ("Customer," "you," or "your") regarding access to and use of our IQaaS: Intelligence as a Service platform (the "Services").
Early Access Programme
The Services are currently provided under an Early Access Programme and are subject to change. We make no guarantees regarding the availability, reliability, or functionality of Early Access features. We reserve the right to modify, suspend, or discontinue any aspect of the Early Access Programme with reasonable notice.
Licence Agreement
The Services are available exclusively through enterprise licensing agreements. Each enterprise licence is: Non-transferable, Non-exclusive, Limited to the agreed number of authorised users, and Valid for the duration specified in your order form.
Fair Usage
Use of the Services is subject to our Fair Usage Policy, which includes: Reasonable API call volumes as specified in your agreement, Appropriate use of computational resources, and Restrictions on automated bulk operations without prior approval. We reserve the right to limit or suspend access if usage significantly exceeds typical enterprise patterns.
Customer Obligations
You agree to: Maintain the security of your account credentials, Use the Services in compliance with applicable laws and regulations, Ensure authorized users comply with these Terms, and Report any security incidents promptly.
Data Processing
Our processing of Customer Data is governed by: The UK Data Protection Act 2018, The UK GDPR, and Our Data Processing Agreement. You remain the data controller for any personal data processed through the Services.
Intellectual Property
The Services and all related intellectual property rights remain our exclusive property. Customer Data remains your property, subject to a limited license allowing us to provide the Services.
Liability and Indemnification
Our liability is limited to: Direct damages and the amount paid for the Services in the 12 months preceding the claim. We exclude liability for: Indirect or consequential losses, Loss of profits or revenue, and Business interruption.
Term and Termination
These Terms remain in effect for the duration of your enterprise agreement. Either party may terminate for material breach with 30 days' written notice.
Service Levels
Service levels are as specified in your enterprise agreement. Early Access features are provided "as is" without service level commitments.
Changes to Terms
We may modify these Terms with 30 days' notice. Continued use of the Services constitutes acceptance of modified Terms.
Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
